Terms of Use
These Terms govern the public Nelvayo website and pre-launch waitlist provided by Flick Technology LLC (“Company,” “we,” “us” or “our”). Nelvayo is the Company’s product brand. “You” means the person accepting these Terms or, where that person is authorized to act for an organization, that organization.
This agreement concerns a free informational website and email waitlist. It does not open a financial account or govern the holding, transfer or investment of customer funds. Read the eligibility, responsibility and liability provisions before registering. Mandatory rights under applicable law remain unaffected.
1. Parties and acceptance
The contracting party is Flick Technology LLC. You accept these Terms by affirmatively selecting the Terms checkbox and submitting the registration form. Please read the linked documents first and retain a copy if you wish. If you do not agree, do not register.
We do not treat merely opening a page, receiving a message, remaining silent or exercising a privacy right as acceptance of a new agreement. Our intellectual property and other rights under law may apply independently of a contract. A record of form acceptance is evidence of that submission; it is not conclusive proof of identity or authority and does not remove your ability to dispute an unauthorized registration.
2. Age, authority and eligibility
You must be at least 18 and have the legal capacity required where you live to enter into this agreement. If you act for an organization, you confirm that you have authority to bind it. You must not register another person without the necessary permission or submit inaccurate details to evade a restriction.
Viewing the site or selecting a country does not establish eligibility for a future product. Applicable law, location, residence, verification requirements and provider coverage may limit access. You must not seek a service through unlawful circumvention of applicable sanctions or other restrictions. The Company remains responsible for its own obligations; this clause does not shift them to you.
3. Website-only scope
The website presents product information and collects interest in future access. It does not receive deposits, create a wallet or brokerage account, execute transfers, provide custody, exchange assets or place orders. No financial, investment advisory, escrow or fiduciary relationship is created by joining the waitlist.
Future app access and financial functionality require separate agreements, disclosures and approvals where applicable. These Terms do not define rights in future customer assets, safeguarding, transaction disputes or account balances. They must not be used to impose website liability limits on an unrelated financial service.
4. Registration and the free waitlist
Registration expresses interest and requests Nelvayo email updates. It is free and does not create a paid subscription, payment obligation, purchase, ownership interest or investment. Do not send money, crypto assets, credentials or identification documents to obtain a waitlist place.
Use accurate details and an email address you control or are authorized to use. Keep that mailbox secure. Contact us if information needs correction or you suspect an unauthorized registration. A confirmation message records a registration; it does not promise a place in a queue, priority, invitation, price, benefit or launch date.
We may manage duplicate entries, limit registrations or decline or remove an entry for a legitimate operational, security or legal reason. Applicable law and any specific enforceable commitment still govern. We do not charge a cancellation or unsubscribe fee.
5. Communications and privacy choices
Email permission is requested separately from Terms acceptance. Because the waitlist is an email notification service, the form requires permission for Nelvayo product updates and launch messages. You can browse without joining, and can withdraw email permission using the unsubscribe link or by contacting us.
The Privacy Policy describes collection, providers, retention and your rights. Acknowledging that notice does not waive privacy rights, authorize every possible future use or provide consent for a new financial service. Unsubscribing stops marketing but is not automatically a request to erase every record.
We may respond to requests you initiate and send notices required by law. Delivery depends partly on the address supplied, email provider and filtering. We do not deem an important notice received merely because it was dispatched where the law requires a different standard. Electronic communication does not replace a legally required method of service.
6. Product plans and availability
Features described as implemented remain part of a pre-launch app until public access is expressly made available. Buy, Cash Out and USD/EUR virtual accounts depend on provider activation or approval and are not currently available. Markets provides research; U.S. stock trading is planned after the initial launch, subject to a licensed brokerage partner and applicable requirements.
Roadmaps, intended coverage and demonstrations express present plans rather than unconditional release commitments. We may reasonably modify, postpone or discontinue a free planned feature or the waitlist for product, operational, security or legal reasons. There is no compensation solely because a free planned feature is not released, subject to mandatory law and any separately enforceable promise.
These qualifications do not permit deceptive advertising or cancellation of rights already acquired under an applicable agreement. “Global” or similar descriptions do not promise unrestricted availability in every country.
7. Information, illustrations and advice
Website content is general information and does not take account of your personal circumstances. It is not personalized financial, investment, legal, tax or accounting advice, an executable quote or a recommendation to transact. Independently evaluate information and obtain appropriate professional advice before a decision requiring it.
Unless expressly identified otherwise, screens, balances, charts, transactions and portfolios are illustrations rather than actual customer results. Market information may be delayed, incomplete or inaccurate. Digital assets can lose value and transfers may be irreversible; a visual example is not a guarantee of returns, redemption, execution or recovery.
The Legal Notice explains product status and related risks. Report a suspected material error through our contact channel. Neither these Terms nor a general disclaimer excuses a misleading specific claim or an obligation that law does not permit us to exclude.
8. Separate products and providers
Names and links for technology, payment or other providers identify those services; they do not guarantee endorsement, licensing of the Company, production availability or access in your country. Independent websites have their own terms and privacy practices.
Where a future product requires a provider relationship, the responsible entity, applicable terms, eligibility, costs and disclosures must be presented as required before use. An integration does not make all provider obligations obligations of the Company, or remove the Company’s responsibility for its own acts and omissions.
These Terms do not require you to enter into a future provider contract merely because you join the waitlist. Any additional agreement must be formed through the process applicable to that service.
9. Limited permission to use content
Subject to these Terms where accepted, the Company grants a limited, non-exclusive, non-transferable permission to access the website for lawful informational purposes and to retain a personal copy of these Terms. No ownership of software, artwork, text, databases or branding is transferred.
The Company and its licensors reserve applicable rights. Without permission, do not commercially reproduce, distribute, adapt, sublicense or sell protected materials, remove rights notices, or use our branding to imply authorization. A right to view public content is not permission to access non-public systems or data.
Third-party and open-source licenses continue to govern their materials. Statutory exceptions, lawful quotation, fair use and other non-waivable rights remain available. We do not claim exclusive rights in facts or general ideas that the law does not protect.
10. Prohibited conduct
- Do not impersonate the Company or another person, submit fraudulent information, register people without authority or use the website for unlawful or deceptive activity.
- Do not bypass authentication, access controls or rate limits, attempt unauthorized administrative access, or obtain data you are not entitled to access.
- Do not introduce malware, disrupt availability, exploit a vulnerability to access another person’s records or threaten the service.
- Do not harvest personal information, send automated bulk registrations or use automation that imposes unreasonable load. Ordinary search indexing consistent with published instructions is not prohibited.
- Do not infringe another person’s intellectual property, privacy or other rights, or falsely claim an affiliation through a domain, account or copied presentation.
These restrictions apply within the boundaries of applicable law. They do not prohibit truthful criticism, lawful reporting, protected research or access that a non-waivable legal right permits.
11. Security and responsible reporting
If you identify a suspected vulnerability, contact hello@nelvayo.com with enough detail for a safe investigation. Avoid unnecessary personal data and do not transmit passwords, recovery phrases or actual customer records.
A reporting channel is not blanket authorization to test systems, a bug-bounty offer or a promise of compensation. Obtain specific authorization where needed before testing. Do not continue activity that accesses others’ information or disrupts the service. Reporting does not waive a protected legal right or create an obligation of secrecy that the law prohibits.
12. Feedback and your materials
You keep ownership of materials you submit, subject to rights held by others. If you voluntarily provide product suggestions under these Terms, you grant the Company a non-exclusive, worldwide, royalty-free permission to use, reproduce and adapt those suggestions to develop and improve its products, and to allow service providers to assist for that purpose. No compensation is owed for that permitted use unless separately agreed.
This permission does not transfer ownership, apply to private credentials, authorize unrelated publication of personal correspondence or override the Privacy Policy. It does not acquire ownership of a consumer review. The Company’s ability to use information remains subject to privacy law and other applicable rights.
Do not submit confidential third-party information or materials you lack authority to share. Unsolicited ideas do not create an NDA, professional advisory relationship or obligation to develop an idea. A separate confidentiality agreement, if validly made, governs its subject.
13. Reviews and protected disclosures
You may share honest opinions and truthful experiences, make a protected disclosure, report concerns to authorities or obtain legal advice. These Terms impose no penalty for a lawful negative review and do not require ownership of your review to be transferred to the Company.
This does not authorize unlawful disclosure of another person’s private information, infringement or defamatory statements. Any action concerning such conduct remains subject to applicable law; these Terms are not a basis to suppress protected criticism.
14. Maintenance and service interruptions
We may carry out maintenance and changes needed to operate or protect the website. Access can be affected by internet failures, provider outages, cyber incidents, natural events or legal requirements. We do not promise continuous availability or that every error can be corrected immediately.
Where appropriate and practicable, we will communicate a material interruption affecting the service. Events outside reasonable control do not automatically excuse duties the law makes non-excludable, failures to take required precautions, or obligations under a separate paid or financial service agreement.
15. Suspension, withdrawal and termination
You can stop using the website at any time and withdraw marketing permission without charge. You may separately request correction or deletion under the Privacy Policy. Those choices do not require you to forgo an accrued claim or statutory right.
We may restrict access or remove a registration where reasonably necessary to address a material breach, fraud, a security threat, legal requirements or discontinuation of the free service. Where appropriate and lawful, we will provide an explanation or an opportunity to address the issue. Immediate action may be necessary where delay would increase risk or breach a legal obligation.
Contact us if you believe action was mistaken. Termination does not permit unrelated reuse of personal information, automatically delete all records or erase accrued rights. Provisions that reasonably need to survive, including ownership, lawful limits of liability and dispute provisions, continue only within their stated scope.
16. Warranty limitations
To the extent permitted by applicable law, this free informational website is provided “as is” and “as available.” We do not warrant uninterrupted operation, freedom from every error or security risk, or that every item of information remains current. To that extent, implied warranties of merchantability, fitness for a particular purpose and non-infringement are disclaimed.
This clause does not override an applicable express commitment, mandatory standard of care, statutory guarantee or remedy. For a consumer entitled to protections that cannot lawfully be excluded, those protections apply despite this wording. It is not a disclaimer of all responsibility for the Company’s own conduct.
17. Limits of liability and exceptions
Read this section together with its exceptions. Where enforceable under applicable law, the Company and its members, managers, officers, employees and contractors will not be liable under this website agreement for indirect, incidental, special, consequential or punitive loss, including lost profits or business opportunities, arising from the free website or waitlist. Subject to the exceptions below, their combined aggregate liability for claims within that scope is limited to US$100.
These provisions concern only the free website and waitlist. They do not apply to customer funds, transaction balances or future financial products. They do not cap a separate contractual obligation merely because the website mentioned that product.
No exclusion or cap applies to fraud, fraudulent misrepresentation, willful misconduct, gross negligence, or liability that applicable law does not permit us to limit. This includes death or personal injury caused by negligence where exclusion is prohibited, applicable non-excludable consumer remedies, and rights or compensation that data protection law does not allow us to restrict. The exclusions cannot remove a consumer’s entitlement to recover losses where the relevant law preserves it.
If a limit is prohibited or unfair under applicable law, it does not bind you to that extent. A court is not instructed to rewrite an unlawful term to deprive you of mandatory protection. These Terms do not shorten a statutory period for bringing a claim or require you to prove an incident using evidence exclusively controlled by us.
18. Business-user indemnity
This section applies only when you act for business purposes, not as a consumer. To the extent permitted by law, you agree to indemnify the Company and its personnel for reasonable, documented third-party claims, damages and necessary defense costs to the extent caused by your unlawful use, intentional breach of these Terms or infringement of third-party rights.
It does not cover the protected party’s own negligence, misconduct or breach, or impose liability for loss you did not cause. We will provide reasonably prompt notice, sufficient information and reasonable cooperation. Failure to give timely notice reduces the obligation to the extent it materially prejudices the defense.
Defense arrangements and counsel must be reasonable in the circumstances. Neither side may settle in a way that admits the other’s wrongdoing or imposes a non-monetary obligation on it without its consent. Consent must not be unreasonably withheld where appropriate protections are provided. This is not an unlimited obligation to fund any dispute chosen by the Company.
19. Company and individual capacity
Your website agreement is with Flick Technology LLC. A founder, member, manager, officer, employee or contractor does not personally guarantee a launch, product outcome or Company obligation merely by their role or an authorized communication on the Company’s behalf.
To the extent lawful, the personnel expressly protected in these Terms may rely on the provisions intended for their benefit for conduct within their Company role. Nothing creates immunity for their own unlawful conduct, a separate personal undertaking or a non-excludable legal duty. Corporate status alone does not determine the result of every liability claim.
No partnership, joint venture, employment, agency or fiduciary relationship between you and the Company is created by registration. You may not represent that you are authorized to bind or speak for the Company without permission.
20. Complaints and disputes
We invite you to contact hello@nelvayo.com with a description of a concern and the resolution sought. Informal discussion is voluntary. It does not stop a legal deadline, require confidential settlement, prevent urgent relief or restrict a complaint to a regulator.
A dispute may be brought in a court with jurisdiction under applicable law. These Terms do not impose mandatory arbitration, an exclusive foreign forum, a class-action waiver or a new governing-law selection. Applicable conflict-of-law rules and non-waivable rights determine the relevant law and available forums.
Mandatory consumer protections, including any right to bring proceedings in your home jurisdiction, remain available where applicable. Contacting us first is not a precondition to exercising a protected remedy.
21. Changes and version records
This is Terms version 2026-09-22.2, with the updated date shown above. We record the version presented with a registration and the time of acceptance. Existing records are not changed to suggest that a person accepted a later version they never saw.
We may propose prospective updates for changes in the website, law or operations. Material changes affecting registered users require appropriate notice and renewed agreement where required. Posting a new version or receiving an email is not by itself affirmative acceptance of new obligations.
If you do not accept a change that lawfully requires agreement for continued participation, you may stop participating without giving up accrued rights. Changes cannot retroactively authorize incompatible uses of personal information or remove a claim that already arose. Keep a copy of the version relevant to your registration.
22. General provisions and contact
Document relationship. These Terms govern the website agreement within their scope, together with any express separate agreement covering that same service. The Privacy Policy explains data practices and does not waive statutory rights. The Legal Notice provides operator and product disclosures; it does not silently add arbitration or expand these liability limits. Applicable law and specifically agreed terms take precedence where required.
Severability and waiver. An invalid provision is ineffective to the extent required by law and may be severed where permitted without invalidating the remainder. This does not permit enforcement of an unfair provision through an artificial reinterpretation. Failure or delay in enforcing a right is not automatically a waiver.
Transfers. You may not transfer this agreement without our consent except where law permits it. The Company may transfer it as part of a lawful business reorganization or transfer, subject to required notice and without reducing mandatory protections. A transfer does not authorize incompatible use of your data or eliminate accrued claims.
Language and interpretation. English is the original language of these Terms. Legally required local-language information and protections remain effective. Headings aid navigation and do not change substantive rights. A reference to written communication includes an appropriate electronic record except where a specific legal form is required.
Contact. Address website agreement questions to Flick Technology LLC at hello@nelvayo.com. This general contact does not replace formal service where required. Do not include private keys, passwords or unnecessary sensitive information.
